If you decide to read this long post, please note that this is a very sensitive subject and that I am heart-broken, ashamed, and lost. I have been considering behavioral euthanasia for my 3-year-old Malinois for the past 6 months. I took in a puppy for foster back in March 2020 because shelter space was at capacity, and I had free time since I was remote. After a few weeks I decided to keep the puppy, whose name is now Tito. I had no idea what a Belgian Malinois was, but I quickly realized that he wasn't an ordinary pup. I sought out a working dog trainer local to me and we started doing daily boarding and 1-1 training sessions. My trainer has five Malinois (all in various sports such as Schutzhund/IPO and PSA) and she quickly noted that he was VERY nervy and was showing signs of fear-based aggression. Granted, he was a puppy, so I didn't think much of it at the time. I began learning about obedience, and the world of dog sport via LEERBURG, and took several classes on their website for conditioning, reactivity, and competitive heeling. I went headfirst into the world of dog training and sport, and quite honestly fell in love with it. My trainer said that although Tito was a nervous wreck, he didn't have enough drive for sport, but he had too much drive for a pet home. Nonetheless, I stayed consistent with training each day. I noticed a drastic change in behavior at around the 14 month mark. When I would get together with friends, Tito was OK (for the most part) when around their dogs. He would be slightly nippy, trying to herd them but no aggression or fear present. He became explosively reactive when around the same dogs so I took him to the Vet to get checked and rule out any health/medical issues. NO medical issues - so what's next? I told my trainer and she recommended that although it MAY not make a difference, we could try neutering. All of her dogs are intact and she usually advises against it but it was worth a shot. I was back and forth on the idea, until one day he got hold of one of our two cats and drew a little bit of blood (failed to mention that we have two cats in the home that he would chase). I have to manage him both outside of the home, and inside the home at all times. If he isn't in a place command, on the dogpacer treadmill getting his physical needs met, or eating, he is crated. After he attacked one of our cats, I decided to move forward with the neuter. No change. We began a behavior modification program with trazadone and Clomipramine. The trazadone was sedating but it didn't really help much else, while after about 6 months we did see a slight change with the Clomipramine ($250/month I might add). Tito's reactivity got so bad at one point, that he redirected on both my leg, and my fiancé's several times to where he punctured, drew blood, and eventually scarred our legs. Shame on us for not muzzling him from the get-go but you live, and you learn... Aside from being dog reactive, and redirecting on us during walks, he never showed aggression towards people UNTIL the 2-year mark.
INCIDENT #1: My fiancé and I were walking the dogs and had one of our friends who we were expecting waiting outside of our house. We greeted her, the dogs were neutral, and we all walked into the home together. I started prepping the dog's dinner while our friend was taking her shoes off at the entry way. Tito darted from the kitchen, straight to the entryway, and bit our friend's wrist. Thankfully he bit her watch, but it still punctured her wrist and scarred.
INCIDENT #2: A few months went by, and we had my fiancé's cousin and her friend staying with us for the weekend. We made it a point to keep Tito on our second floor, crated if they were around to avoid any potential events. I had him on a leash, muzzled, ready to take him outside for a walk when I said hi to the two girls staying with us. Tito didn't flinch and was neutral which was an unexpected surprise. While muzzled, we walked through the kitchen, and I decided to reward his neutrality with some treats. I then gave my fiancé's cousin and friend some freeze dried, and they fed him through the muzzle. At this point, I felt comfortable (shame on me) and I sat down on the couch and removed Tito's muzzle. The friend still had some treats and fed him - no issue. All was fine up until she stood up, to which he bit her wrist, drawing blood. Not severe by any means, but yet again I put another person in danger because of my naivety.
INCIDENT #3: This next attack was our tipping point as his bites have progressively gotten worse with each event. I was working in my office and had my golden doodle, and Tito next to me with the door closed. My fiance let me know that our friend (same friend was incident #1) was coming over WITH her 8 year old son. I told her that I would crate both the dogs upstairs while they were over to avoid any issues. I walked out of the office and closed the door so the dogs couldn't see our guests. I was chatting with our friend, and hanging out with her son while we waited for dinner to be done. I fell asleep on the couch (it was a 10 hour work day), and napped for about an hour with the dogs still inside the office. My fiancé didn't want to wake me since she knew I was exhausted, so she leashed both dogs and took them outside to go potty. The 8 year old was on his iPad in the living room while his mom was in the bathroom. My fiancé took the boys to the top of the stairs to get back into our house and had them in a sit-stay command to re-attach their leashes before entering our house through the kitchen. Tito broke command and my fiancé could not get his leash attached in time. Before you know it he pushes the door into the kitchen open and is running full speed to get to me (also has separation anxiety and needs to be near me at all times). In order to get to me on the couch however, he needs to pass the kitchen. As he is running through the kitchen, our friend's son is holding his iPad. Now, he knows that Tito had previously bit his mother, so he was TERRIFIED when he saw him running towards us. The son started screaming, with his hands in the air which at this point I woke up, jumping off the couch. Tito turned back around, and as he did the son threw his iPad at Tito. Tito latched onto the boy's thigh, biting him. Thankfully, as soon as he made contact, he immediately let go but the damage was already done. I picked up our friend's son, took him to the tub to clean/disinfect the bite which had two puncture marks (worse than any previous bite). We took him to the ER and thankfully the doctor said that it wasn't too bad and that it should heal in about a week or so. My fiancé and I were devasted. This poor boy was now traumatized due to our recklessness and inability to manage our reactive dog. My fiancé came into this relationship with (1) dog, while I had Tito and our golden doodle. She didn't sign up to live on eggshells and I commend her for all of her support BUT I feel TERRIBLE that now none of her friends feel safe coming to our home. I spent about two weeks researching behavioral euthanasia and we were committed to moving forward with it in February of this year - until the guilt set in. A few months past, no incidents, until about Mid-March. INCIDENT #4: I already mentioned that I had Tito and our golden doodle (name is Archie) before I met my fiance. She already had a 7 year old Lab/Pit Mix named Jasmine so thankfully we were able to get all three dogs to peacefully co-exist (for the most part). Jasmine is an "old soul" and doesn't like any sudden movements or play while she's around - she has her quirks. I was letting all three dogs out in the backyard one afternoon (this was late March of this year), and decided to play fetch with Archie (golden doodle). Jasmine was waiting by the door to get back into the house as I threw the ball for Archie. In order to get to the ball, he had to run past Jasmine. Archie knows exactly how she would react, so he slowed down, and tip toed past her to safely get to the ball. In that moment, Jasmine turned around and attacked Archie, pinning him to the ground. As I am trying to remove Jasmine off of Archie, Tito comes in from left field and attacks Jasmine. All of this happened within a second and I didn't realize that there was any serious damage until we were in the house much later. Jasmine had a three-inch laceration on her under belly, exposing the muscle with the skin/fur nowhere in sight. We immediately rushed her to the ER to which she ended up having to get 14 stitches. For the record, she is fine now but still a terrifying sight. Yet another tipping point, but we still held off on BE.
INCIDENT #5: On Friday night (two days ago), I was letting the dogs out. Now let me preface by saying that the house we live in is a multi-family home where we live on the 2nd/3rd floor, while the first floor is its own apartment/unit. My fiancé's brother, his girlfriend, and their dog actually occupy this space, so we typically text each other when one of us needs to let the dogs out. We always make sure that the backyard is cleared before letting our dogs out to avoid any potential conflict/injury. I shot over a text and let them know that I would be in the backyard (it is about 10:30 pm, and it's DARK). Her brother acknowledged, and I even made a joke about how Tito was crazy because he spotted a rat in our backyard and chased it to the garage. All of a sudden, I hear their backdoor open and their dog Bronny comes towards us in a full sprint. The brother's girlfriend didn't know we were in the yard, as he told her right when she was opening the door. At this point it was too late. Bronnie and Tito have NEVER met aside from smelling each other's markings in the yard when the other isn't present. Before I could even visually spot Bronny (dark, brindle coat), Tito had his teeth around Bronny's neck. I was able to pry Tito's mouth off him, to which Bronny ran inside their apartment, however Tito followed suit. He got a hold of him AGAIN and I had to pry his teeth off, and sort of nudge Bronny away while I got a good grip on Tito (had no collar on so I had to get a good grip on his scruff). Bronny had peed all over himself, scared shitless. I took the boys upstairs to their crates, and came back down to check on him. The punctures weren't too deep and they said they would take him to the vet. I FEEL AWFUL. Although I gave them a warning that we were in the yard, it is my responsibility to keep everyone safe from our dog. Bronny, who is typically a very rambunctious, silly dog, turned on me earlier today when I said hi in the backyard by myself. He tried to bite me, and the brother had to pull him off. I am responsible for this dog's pain, fear, and trauma. Turns out Bronny's neck had swelled up, creating an abyss. They just got back from the vet, and he needed to be sedated so that they could drain the fluid. I feel so much shame and guilt and don't know if I could live with this happening AGAIN.
What more can I do? - Training, training, training, every single day (making sure his physical needs are met along with adequate mental stimulation) - Worked with several trainers, all of which concluded that this is just who he is - Lots of LOVE, PLAY, and more LOVE - Prong collar (no longer using as it makes his reactivity worse) - E-Collar (no longer using as it only amplifies his redirection) - Behavior modification in conjunction with medication - Has a daily routine and is given jobs
I don't know what else I can do - how can I continue to justify keeping him alive? He is my soul-dog, my best friend, my boy. He has so much love for us and can be the most amazing dog - until he isn't. He would be the greatest dog if it wasn't for his reactivity but what can you do? These were the cards we were dealt. I quite honestly believe that it all comes down to genetics and it is a uphill battle every day. Whoever decided to breed and produce Tito and his litter mates is a backyard breeding POS.
It kills me that I took in this sweet puppy, did everything I possibly could to give him a great life, and it still wasn't enough. It kills me that I am so irresponsible and selfish, that I decided to keep him alive after each and every bite incident. I feel so bad for my fiancé as she knows how hard this decision is for me and yet after everything that has happened, continues to support my decision to keep him alive despite all the pain he has caused us. I can't continue to make excuses for my dog. I can't keep walking on eggshells in my own home, putting the safety of our cats, other dogs, and neighbors at risk because I LOVE MY DOG. My love can't make him a stable, neutral dog.
The thought of taking him to the vet, watching him lay on a metal table breaks my heart. Having him look me in the eyes as he takes his last breath, thinking that we'll leave to go home any minute, brings me to tears. How could I fail this loving boy who would do ANYTHING for me? How can I walk out of the vet clinic with only a leash and no dog looking up at me like I am their whole entire world? This isn't fair. We will be booking an appointment for next Sunday. I plan on taking PTO from work next Friday and Monday so that we can have one last incredible weekend together.
If you have any ideas of how we can make the most of our time, please share. This is going to be the hardest decision of my life and I am not ready to lose my best friend. Thank you for listening.

So, a bit of pretext: I have a gym related friend group of like 12 people whom I like a lot. But, recently, they’ve steadily been grating at my nerves(some of them). I’m the biggest driver who picks them all up and drives them back home, be it gym related or going to parties, school, etc. I like doing it but their attitude can get obnoxious.
Some examples:
Some friends have started to take me for their uber or something. An off handed joke about me being their uber was funny and all but once, at a party, one friend I’d drive home said „We’re going now“. And I was annoyed because I was connecting with my crush so I shook his hand and told him „Have fun coming back, I’m finishing our round“ (playing some game) and he wordlessly left me alone for a bit.
I was out with friends and it was getting rather late and I wanted to leave. Another friend also left and he’d take the bus. It would have added 30 minutes to my drive to get him home and I didn’t want to drive that in the night when his bus would soon come. We agreed on it mutually but some other friend publicly called me out and „shamed“ me for not driving him. I exploded internally because I did so much for them and what I get is being publicly called out.
I often pick up some friends in the morning when going to school. And one of them never failed to not be on time and always had some damn excuse for everything. He apologized all right but if nothing changes then I sure get pissed after the 3rd apology
Lastly, recently I drove 2 friends to the gym with me. And out of the blue one is telling me that he is having a family barbecue and I’m supposed to drive him back in time. No heads up, nothing. Just the command. He then suggested I split my workout into 2 which also annoyed me because gas isn’t free and he’s suggesting I drive back tomorrow just because he failed to tell me something do crucial?
Please remember that I never screamed at them and tried to be calm with them. So, am I the asshole?

Re: mobile homes. I know. I'm doing my due diligence to avoid poverty traps.
Paragraphs of details since it's important, I'll bold where it ends and my question begins.
I went through major housing instability in my 20s after the passing of my mom and loss of our home right before I graduated high school. I was fine for a couple years and found stable living and work, but now I'm right back in that instability due to both physical, mental, and possibly even neurological disability. I can't work at all, and three doctors have told me I should get on SSI, so I'm applying at the end of July once I have all my documentation.
My state disability runs out July 1st, at which point I'll have to start pulling from a Trust to pay rent (1k$ for a room). I need to move back to my home state of PA for cheaper living and to be near my support network.
My Trust was established by my grandparents who were by no means wealthy. It's irrevocable meaning once it's set up it can't be taken back and all assets HAVE to go to me, the only beneficiary. The Trustee is a financial planner who was a family friend. Basically, it's not money I have free access to, she distributes funds in my best interests.
SSI will be 914$/yr, increasing every year. I do not qualify for other programs, which means that supplemental income and it's restrictions is all I can live off of.
With the legal stuff out of the way- she said that I can get a mobile home up in a park to 75k$. Which is reasonable and there's routinely a few that are still in SSI-friendly parks at any given time. We would be doing cash offer, so no financing, which is appealing to sellers.
But- now she's telling me that she wants me to find a place to rent first so I can look at the mobile homes before I buy them. I would -never- buy or even rent any place sight unseen, and my local friend's mom was willing to help by doing the tours in my stead with me on video call.
I have no job and can't work, I am not even on Social Security yet and it could be months to years before I'm approved. My only source of income to show to a landlord or rental agency is a Trust I do not own and don't have any power to withdraw directly from. The most I could give them is a Proof of Income letter from her as the Trustee who is also a registered Certified Financial Planner.
Complexes and property management companies typically aren't going to budge on their income policies. Other Redditors say that I can look into independently owned rental properties that are more willing and able to listen to my situation, and I can also look into another room rental, but then we run into a series of fun new roadblocks:
-Is it on an upper or lower level, or would require me to walk/drive to or use a full flight of stairs for laundry? Can't rent it. -Is it strictly no pets as independent landlords aren't beholden to FHA/ADA policies on ESA's? Can't rent it. -Are the owners (for room rentals) going to discriminate against me for being a trans person? Can't rent it. -I'm autistic- am I going to live with younger kids or people who like to throw loud parties or make a lot of noise that I can't muffle or avoid? Can't rent it.
(Also if it's furnished and has no storage space, I'm going to need to rent storage for my stuff which is another cost, as is having to move all my belongings a second time.)
The chances of me getting a mobile home without running into income and accessibility roadblocks is exponentially higher than the chances of me getting an apartment or other rental without those blocks.
So should I-
Keep looking for a rental that will accommodate a trans person with an ESA and noise sensitivity, who can't use a full flight of stairs in an area that has a lot of multi-level old buildings, and whose only source of income is being the beneficiary of a Trust and can only verify my reliability with a 680 credit score and a Proof of Funds from the Trustee.

Try to convince the Trustee that it's going to be easier and cheaper in the long run for me to just use my resources back in PA to get a mobile home and move directly to it, and that I trust the people I have out there to be able to do all the necessary things I would be doing if I were there like checking plumbing, looking for damages not shown in photos, inspecting for smells of smoke, pet, or water damage, etc.

NET10's WEBSITE ABSOLUTELY SUCKS. There. I said it. I feel slightly better.
Some backstory:
Several years ago, my senior parent saw this infomercial on HSN/QVC "Net10 Wireless Hotspots" and bought one.
The model is: ZTE 4G LTE Wireless Hotspot Z291DL
It seemed like an irresistable deal -- $100 dollars worth of Data service included for free when you buy the hotspot. Use wifi from your own hotspot instead of using risky wifi from hotels or starbucks. Fantastic. We used it for a while, but discovered that while it may be the same company as TracFone, the data does NOT roll over every month or two as with Tracfone, no, you have to use the 10 gigs of data a month on Net10 or lose it. Which led to me taking it to work towards the end of the month to make sure I used up the data before the service end date, to get the most out of our money since it won't roll over.
It wasn't a bad set up at first. If one of our TracFones ran out of data, plugging in the Net10 was great and got us online again. It also worked great for running data-heavy programs like Google Maps as you drive.
This worked okay, until it didn't. It is very easy to forget something you only do 1 time every 60 days. Forgetting to refill the hotspot results in having to go to the HORRIFICLY designed Net10 website and go through a lot of convoluted steps to refill it. My mother is 100% against AutoRefill, so it was up to me to remember to manually refill it every 60 days. But the website system is complete crap. It would log out on me before I was through entering information. It does have our address, my cell phone as contact, and of course, our credit card number, which it accepts whenever I purchase the $50.00 plan for 60 days of service.
But credit card info changes, and I want to edit the profile. No can do. It will not send 2 step verification emails no matter how hard I try.
We DO get marketing and service reminder emails from Net10 regularly, to my mothers email, see below:

Everytime I click, "send me an email", nothing happens. The popup refreshes and displays the same information.
Clicking "I don't have a phone number" is equally useless. It does nothing.
After about 10 tries of this --- amazingly! --- I am able to break past that reoccuring popup hell cycle and access the My Profile page. I proceed to change the name from "No Last Name" and "No First Name" to my own last and first names, and edit the Pin. But none of my changes are saved, even though the system refreshes after I click "Save Changes". This is infuriating.

So. I tried, 3 hours ago, calling customer service. I called 1-877-836-2368. The wait time each time was less than 1 minute. However, the first 2 times, I was disconnected by the agent while in the middle of explaining the entire problem. Finally I did get through to a singsongy sounding woman, "Jobely", from somewhere in Asia trying to help. She was unable to access my account via PIN, as all the numbers I provided were invalid. She attempted to send the 2FA emails, but even though she insisted she sent them, absolutely none went through.
I logged out and logged into my account again, proving that my email was indeed valid as it allows me to log in, if it was invalid how could I log in at all. She was perplexed and promised she would fill out a support ticket. She also promised to call me back in 15 minutes to see if the issue was resolved.
30 minutes later though, no call. So I called back again and got another woman, 4th call today. She said that she was the highest up in customer service and could take my complaint up no further. She has promised I will recieve a call back to see if "the issue has resolved" within 24 hours.
Have any of you experienced this same exasperating catch 22 with Net10 Wireless Hotspots?

Hello everyone. We are here because we care about or love Rust the language, but the recent drama really hurt everybody's feelings. So do I. I can't stop thinking about how to fix the leadership and miscommunication problems. The Leadership Council RFC might be a solution. However, before that comes out, more trusts are going to be burnt.
That being said, there are still lots of people in the Rust Project doing good stuff in their free time to provide Rust toolings to everyone for free.
For example, you can read about how many stuff the Release team has done for a release every 6 weeks, just for making sure exciting new features and fixes are delivered to users.
You can also read about the "deployments" topic from the crates.io team. They do their best to ensure people have a smooth experience when using third-party dependencies, even if they still lack in the mid- and long-term contributors.
You can visit this subreddit and URLO (the Rust programming language users forum). People spend a lot of their free time on discussing, debating, and helping each other. Some fights might happen, but in general, all of them want Rust to be better.
You can also check rust-lang/team repo, where shows more than 400+ people have worked on the Rust Project as official members. And on thanks.rust-lang.org, it shows that 300+ people have been involved in each recent release. I believe the number of active contributors may be more than 100+.
Open source project maintainers are way more prone to burnout due to frustrating fights around their beloved projects. I am not saying the recent drama are nothing. We should fix them. However, while fixing those "bugs", I truly believe we can also show our appreciation to those who do help us.
I encourage people to shout out thanks here to those who are making the world better, and our lives easier. This time we help them!

I've made previous posts that didn't really gain any attention on this subreddit and the pcmasterrace subreddit, but I have an RTX 3070 and a Ryzen 7 5800x, and I get these brief microstutters/frame drops in specific areas of the game. these stutters can usually always be replicated if I walk back through that spot; however, they don't happen unless I walk through the exact direction I came. they are consistent and will happen without fail every time
for example, if I get a stutter coming into a room from the south, it usually will not stutter if I walk back through from the north, but will stutter again if I come back from the south. some of the microstutters are NOT repeatable, but if I leave the area and reload it, then they will happen again in the same spots

although they aren't everywhere, they are fairly noticeable. I have a monitor and in-game frame cap of 60fps with Vsync, and fairly Medium graphics. my friend also has an Nvidia card, but he has a 2070 Super, so it's not exactly the same gpu lmao; additionally, he also has an Intel CPU while I have a Ryzen, but I know that it isn't a Ryzen-specific issue because someone else I know does not have this problem.
sometimes the fps drops will be small like 60 down to 58 or 55, sometimes they'll go down to 44; but the stutter will always feel the same, regardless of how low it makes the fps drop for a second. I've tried so many things, and I don't believe this happens with any other game:

I've reinstalled my current driver (531.29), I've rolled back to the previous driver, and I've updated the driver. I've turned Vsync off, I've tried setting everything to higher refresh rates, I've set my graphic settings to their Highest, I've turned FreeSync off on my monitor, I've set the game to High Priority in Task Manager, I've toyed with almost every single option in the Nvidia Control Panel for the Destiny program, I've set the PhysX processor to both my GPU and CPU, I've reinstalled my chipsets (which are up to date). nothing here has done anything, the game will still briefly stutter or hitch in these very specific areas; I've even restarted my game and relaunched with every settings change I've made
I have XMP enabled for my 32gb Corsair ram (the ram size is not the issue, nor is the CPU or GPU usage being too high). I also have Eco Mode 65w enabled for my CPU but that should not be enough to cause this problem that seems to be very specific to Destiny.
anyone else with a 3000 series Nvidia GPU or a 3070 that has stutters like this? or just...problems in general? I got this PC like, right before Lightfall came out so I don't know if I ever previously had these stutters on my rx570 or if this is an issue that Lightfall created for me

So I'm from Namibia and I'm having an idea of creating a platform whereby local artists can upload their music and have their fans ( true, loyal fans) who appreciate their work go onto the platform to buy their music. Unlike other music streaming platforms out there, upon buying the song(s) you download them and save them on your device's memory, and you can play it on any media player whether online or offline, laptop, TV set, boombox etc.
Now there is currently no such platform in Namibia, created by Namibians for Namibians.
Also I believe it will financially be beneficial to the artist in the sense that unlike Spotify, iTunes and others, artist will directly receive money for their work.
With everything going digital, majority of music fans here in Namibia hardly buy CD's anymore. People now just go onto YouTube and download music for free or share on WhatsApp groups. So artists lose out on a lot of revenue. I don't know guys I really have a good feeling about this. Of course I know nothing about programming or developing apps and websites so I'll ask someone probably on this sub to help create such an app for me.

  • MB: This is shaping up to be something of a quiet week: the schedule is light on potential market-moving information here, plus the US markets are closed on Monday for a holiday. Still, I’m very curious to see the results of the REDC pricing (which we should get Tuesday afternoon or Wednesday morning), and I’ve got my eyes and ears open for changes in tone out of the US on the likelihood of further rate hikes since there’s a good amount of employment data expected to drop later in the week that influence that decision.
• [NEWS] DITO gets $1.2-B bridge loan from China… DITO CME [DITO 2.35 ▲4.0%; 139% avgVol] [link] said its subsidiary, DITO Telecommunity (DitoTel), received a bridge loan renewal from the Bank of China and China Minsheng Banking Corp. DITO said that the bridge loan will be “repaid and absorbed” into a larger $3.9 billion project financing loan that it is attempting to finalize and close before the end of 2023.
  
  • MB: For those who are unfamiliar, a bridge loan is a short-term loan that is given to help a company “bridge the gap” between its current situation and the signing of a longer-term loan. Here, DITO has been working on the larger part of this deal (the long-term loan) for a long time, and while DITO’s shareholders will be relieved to see DITO making a deal with one of its largest lender (Bank of China), it won’t mean much unless the larger deal is closed. A lot has changed in the time that DITO’s management has been working on this deal, and DITO has continued to burn cash trying to expand its capex-heavy and low-margin business, so a bridge loan like this will give DITO breathing room (working capital) to maintain its growth pace without having to make tactical sacrifices to keep the lights on or make payroll.

  • Alternergy [ALTER 0.93 ▼5.1%; 117% avgVol] [link] disclosed that the SEC approved its equity restructuring to eliminate a ₱120 million deficit using some of ALTER’s additional paid-up capital. This transaction was approved by ALTER’s board in late January, and was disclosed in ALTER’s prospectus during its IPO process.
    • MB Quick Take: This is really just an accounting/paper move that doesn’t have any impact on ALTER’s operations or cash flows. While the move does improve the “look” of ALTER’s financials, the main benefit to shareholders (and to ALTER’s owners) is that it allows the company to declare dividends in the future. Companies cannot declare dividends with a retained earnings deficit. This move got rid of that deficit.
  • National Grid Corporation [SGP 8.50 ▼4.5%; 184% avgVol] [link] Assistant VP Cynthia Alabanza, in response to allegations from a Senate panel that NGCP was distributing income to shareholders at the expense of delivering electricity under its franchise, said: “I don’t know when making money became so demonized.” She went on to say, “Again, when you talk about dividends, if you look at prevailing law, you’re not supposed to retain dividends. You’re supposed to give it out. In fact, you will be penalized if you retain dividends beyond your paid-up capital.”
    • MB Quick Take: Ms. Alabanza is trying to hide behind capitalism to protect herself and SGP from criticism. It’s important to remember that NGCP’s profits are due to its government-legislated monopoly on the distribution of electricity in this country, not from excellence on the open market. It’s also important to remember that dividends are declared after a long process of budgeting and allocating for future needs, like capex, so a declaration of dividends does come at the expense of capex spending. Earnings and profit are not just “cream” for the owners, but are actually the first source of capital to fund future growth.
  • SP New Energy [SPNEC 1.47 ▼1.3%; 36% avgVol] [link] received some assistance from Nicky Franco, head of research for Abacus Securities, which was the issue manager and lead underwriter on SPNEC’s IPO back in December. Mr. Franco solicited questions about SPNEC on Twitter, and answered some of those questions in an informative thread that you can read here. Mr. Franco talks about SPNEC’s ethical issues, the share-swap, future profitability, the stake sale to Metro Pacific, SPNEC’s valuation, and several other topics.
    • MB Quick Take: I’m not co-signing on Mr. Franco’s answers, just exposing readers to a very informed take on SPNEC’s past, present, and future. One quibble that I have is in Mr. Franco’s response to the question about whether IPO buyers were “fleeced” because of SPNEC’s abrupt change in purpose from a discrete non-operational Nueva Ecija solar project, to a behemoth backdoor injection of Solar Philippines projects. Mr. Franco said that IPO buyers were not fleeced because those buyers are “still sitting on gains”, and “had the chance to exit at ₱2.30+”. I think that evades the question (purpose/plan), and points to something (performance) that is entirely irrelevant. In my opinion, it cannot be debated: what IPO buyers experienced after the IPO was materially different from what they bought in December. That isn’t changed just because the stock price just happens to be above the IPO price. Mr. Franco’s point, that buyers had the opportunity to exit at a higher price than their purchase price is valid, and is perhaps the only silver lining in this answer, but it doesn’t suddenly make what has happened any less weird. If the price were lower than the IPO, buyers would have been misled and fleeced. But since the price is above, they were only misled (fleeced implies a loss). Wait, what about the IPO buyers who sold on the first day for less than the IPO price? This is why our evaluation of “what happened” shouldn’t be informed by performance.
